Terms of Service

1. Introduction

DealHabibi is operated by FLINTLARK - FZCO, a company registered in the IFZA freezone, Dubai, United Arab Emirates (Trade License No. 78570). By accessing or using DealHabibi ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

2. Nature of the Platform

DealHabibi is a community information platform where users share, discuss, and vote on deals, discounts, voucher codes, and freebies available in the UAE. DealHabibi is not a retailer, marketplace, or e-commerce store. We do not sell, supply, or fulfil any products or services. We do not set prices, process payments, handle shipping, or manage returns. All deals listed on the Platform are submitted by community members and link to third-party retailer websites.

DealHabibi is not a party to any transaction between you and any third-party retailer, even where we have an affiliate relationship with that retailer. Our affiliate relationships do not constitute an endorsement, recommendation, or guarantee of any retailer, product, or service.

3. Eligibility

You must be at least 18 years old to use DealHabibi. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are under 18, you may not create an account or use any features of the Platform.

4. User Accounts

To use certain features, you must create an account. DealHabibi uses passwordless authentication via magic link emails. When you sign in, we send a one-time login link to your email address. You agree to:

• Provide a valid email address that you own and have access to
• Maintain only one account per person
• Keep your email account secure, as it is your sole means of authentication
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We may suspend or terminate your account at any time, for any reason or no reason, with or without notice. We will have no liability to you or any third party for any suspension or termination of your account or access to the Platform.

5. User-Generated Content

DealHabibi is a community platform where users submit deals, post comments, and vote on content. You are solely responsible for all content you submit to the Platform ("User Content"), including deal submissions, comments, votes, and any other contributions. DealHabibi does not endorse, verify, or guarantee the truth, accuracy, completeness, or reliability of any User Content.

By submitting User Content to the Platform, you:

• Retain ownership of your content, but grant DealHabibi a perpetual, irrevocable, non-exclusive, royalty-free, worldwide licence to use, display, reproduce, modify, and distribute your content on the Platform and in connection with operating and promoting the Platform
• Represent and warrant that you own or have the necessary rights to submit such content
• Represent and warrant that your content is accurate to the best of your knowledge
• Agree that your content does not violate any third-party rights, applicable laws, or our Community Guidelines
• Acknowledge that DealHabibi may remove, modify, or refuse to display any User Content at its sole discretion, without notice or liability

6. Content Moderation

DealHabibi employs a combination of automated detection systems and human moderation to identify and remove content that violates these Terms, our Community Guidelines, or applicable law. However, we are not obligated to review, monitor, or moderate any User Content, and we make no guarantee that prohibited content will be detected or removed in a timely manner, or at all.

DealHabibi has no liability for any action or inaction with respect to any User Content, conduct, communication, or posting on the Platform. We do our best to maintain a safe and helpful community, but the volume and nature of user-generated content means that harmful, inaccurate, misleading, or illegal content may appear on the Platform before it is identified and removed.

You acknowledge that by using the Platform, you may be exposed to User Content that is inaccurate, offensive, misleading, or otherwise objectionable, and you agree that DealHabibi shall not be liable for any such content.

7. Prohibited Conduct

You agree not to:

• Post misleading, fraudulent, or spam content
• Engage in self-promotion or use the Platform to advertise your own business
• Insert your own affiliate or referral links into deal submissions
• Manipulate votes by creating multiple accounts or coordinating with others
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use automated bots, scrapers, or other tools to access or collect data from the Platform without prior written consent
• Harass, abuse, threaten, or intimidate other users
• Post content that violates UAE law, including but not limited to UAE Federal Decree-Law No. 34/2021 on Combatting Rumours and Cybercrimes
• Post defamatory, obscene, or discriminatory content
• Interfere with or disrupt the Platform or its infrastructure
• Violate any applicable local, national, or international law

8. Third-Party Links and Retailers

The Platform contains links to third-party websites, products, and services that are not owned or controlled by DealHabibi. When you click on a deal link, you leave the Platform and visit a third-party retailer's website. You do so entirely at your own risk.

DealHabibi is not responsible for and has no control over the content, products, services, privacy practices, availability, pricing, or policies of any third-party website. We do not investigate, monitor, or verify the accuracy of deals or the legitimacy of retailers linked from the Platform. The inclusion of any link does not imply endorsement, approval, or recommendation by DealHabibi.

You acknowledge that any transaction you enter into with a third-party retailer is solely between you and that retailer. DealHabibi shall have no liability for any claims, losses, damages, or disputes arising from your interaction with any third-party retailer, including but not limited to product quality, delivery, returns, refunds, warranties, or customer service.

9. Affiliate Disclosure

DealHabibi contains affiliate links. When you click a deal and make a purchase through our links, we may earn a commission at no additional cost to you. This commission helps fund the operation of the platform. Affiliate relationships do not influence deal rankings, which are determined entirely by community votes. Our affiliate relationship with a retailer does not make DealHabibi a party to any transaction and does not constitute an endorsement of that retailer.

10. Intellectual Property

The DealHabibi name, logo, design, and all original code and content created by us are the intellectual property of FLINTLARK - FZCO. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written permission. Third-party trademarks, logos, and product names referenced on the Platform belong to their respective owners.

User-generated content remains the property of the user who submitted it, subject to the licence granted in Section 5. You may not copy, repurpose, or distribute other users' content without their permission.

If you believe that content on the Platform infringes your intellectual property rights, please contact us at [email protected] with details of the alleged infringement. We will review and respond to valid complaints in accordance with applicable law.

11. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, DealHabibi does not warrant or guarantee that:

• The Platform will be uninterrupted, secure, or error-free
• Deals listed on the Platform are accurate, complete, current, or available
• Prices, discounts, or voucher codes shown are correct or still valid
• Products or services offered by third-party retailers will meet your expectations
• User Content is truthful, accurate, or reliable
• The Platform is free from viruses or other harmful components

Your use of the Platform and any reliance on deal information, User Content, or any other information found on the Platform is entirely at your own risk. You should independently verify all deal information before making any purchase decision.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, FLINTLARK - FZCO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ("COVERED ENTITIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, ANY USER CONTENT, ANY THIRD-PARTY LINKS OR SERVICES, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

Without limiting the foregoing, Covered Entities are not liable for:

• Issues with third-party retailers, including product quality, delivery, returns, or refunds
• Expired deals, price changes, or inaccuracies in deal information posted by users
• Any loss arising from your reliance on information found on the Platform
• Actions or omissions of other users, including fraudulent, misleading, or illegal User Content
• Unauthorized access to your account resulting from your failure to secure your email
• Interruptions, errors, or downtime of the Platform

IF, NOTWITHSTANDING THE FOREGOING, ANY COVERED ENTITY IS FOUND LIABLE TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, THE TOTAL AGGREGATE LIABILITY OF ALL COVERED ENTITIES SHALL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100.00) OR THE AMOUNT YOU HAVE PAID TO DEALHABIBI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless FLINTLARK - FZCO, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, actions, costs, damages, settlements, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or relating to:

• Your use of or access to the Platform
• Your User Content
• Your breach or violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Any dispute between you and another user or a third-party retailer

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defence of such claims.

14. Force Majeure

DealHabibi shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions or regulations, sanctions, war, terrorism, civil unrest, power outages, internet or telecommunications failures, cyberattacks, or disruptions to third-party services on which the Platform depends.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

You agree that any claim you may have arising out of or related to these Terms or the Platform must be filed within one (1) year after such claim arose, otherwise such claim is permanently barred.

16. Changes to These Terms

We may update these Terms from time to time at our sole discretion. Material changes will be communicated through a notice on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and DealHabibi regarding your use of the Platform and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be revised, limited, or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
• Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction.
• No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and DealHabibi.
